Advertising Agreement
This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by Upper Seven Law ("Advertiser") and any third-party advertising platform or publisher ("Publisher"). This Agreement governs the terms under which Advertiser will advertise its services through Publisher's platform.

Publisher :
The entity or platform providing advertising services to Advertiser, including but not limited to Microsoft Ads or other digital advertising platforms.

2. Scope of Services

Advertiser agrees to utilize Publisher’s advertising services to promote its legal services. Publisher will display advertisements ("Ads") on behalf of Advertiser in accordance with the targeting criteria, budgets, and schedules agreed upon by both parties.

3. Ad Content Requirements

Advertiser agrees that all Ads submitted for publication must comply with the following requirements:

• Accuracy : All information provided in the Ads must be truthful, accurate, and not misleading.
• Compliance : Ads must comply with all applicable laws, regulations, and Publisher’s advertising policies, including but not limited to Microsoft Ads’ policies.
• Prohibited Content : Ads must not include content that is illegal, defamatory, obscene, or discriminatory.
• Intellectual Property : Advertiser warrants that it owns or has obtained all necessary rights to use any trademarks, logos, images, or other materials included in the Ads.

4. Payment Terms

• Advertiser agrees to pay Publisher for advertising services rendered based on the agreed-upon pricing model (e.g., cost-per-click, cost-per-impression, etc.).
• Payments will be processed via the payment method specified by Publisher.
• Advertiser is responsible for monitoring its advertising spend and ensuring sufficient funds are available to cover costs.

5. Term and Termination

• Term : This Agreement shall commence on the date of acceptance and continue until terminated by either party.
• Termination : Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, Advertiser will remain responsible for all charges incurred up to the effective date of termination.

6. Representations and Warranties

Advertiser represents and warrants that:

• It has the legal authority to enter into this Agreement.
• Its Ads and promotional materials do not infringe upon the intellectual property or other rights of any third party.
• It will comply with all applicable laws and regulations, including those related to advertising, consumer protection, and data privacy.

7. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless Publisher, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to:

• Any breach of this Agreement by Advertiser.
• Any content or materials provided by Advertiser.
• Any violation of applicable laws or regulations by Advertiser.

8. Limitation of Liability

In no event shall Publisher be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement. Publisher’s total liability under this Agreement shall not exceed the total amount paid by Advertiser for advertising services during the preceding month.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

11. Modifications

Publisher reserves the right to modify this Agreement at any time. Advertiser will be notified of any changes, and continued use of Publisher’s services after such modifications constitutes acceptance of the updated terms.
